These Terms & Conditions ("Terms") govern your use of the Planet Intelligence website and services at planetintelligence.co.uk (the "Service"), operated by Planet Intelligence ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Account" — your registered user account on the Service.
"Content" — any data, text, reports, or analysis generated by or through the Service.
"Companies House Data" — publicly available information retrieved from the Companies House API.
"AI Interpretation" — analysis generated by artificial intelligence models integrated into the Service.
"Service Tier" — the subscription level associated with your Account (e.g. Free, Basic, Pro, Enterprise).

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. By using the Service you represent that you meet these requirements.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials.
You must provide accurate and up-to-date information when registering.
You must notify us immediately if you suspect unauthorised access to your Account.
We reserve the right to suspend or terminate Accounts that violate these Terms.

4. Permitted Use

You may use the Service for lawful business and personal research purposes only. You must not:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Attempt to gain unauthorised access to any part of the Service, other Accounts, or our systems.
Scrape, crawl, or use automated means to access the Service beyond normal API/UI usage.
Redistribute, resell, or sublicense Content generated by the Service without our prior written consent.
Interfere with or disrupt the integrity or performance of the Service.
Upload or transmit malicious code, viruses, or harmful data.

5. Service Tiers and Limits

Access to features and usage limits (tracked companies, analyses per month, data retention) are determined by your Service Tier. We reserve the right to modify tier features, pricing, and limits with reasonable notice. Continued use after such changes constitutes acceptance.

6. Companies House Data

The Service retrieves publicly available data from Companies House. This data is provided under the Open Government Licence v3.0 and is subject to Companies House terms. We do not guarantee the accuracy, completeness, or timeliness of Companies House data. You acknowledge that filings may contain errors or omissions introduced by the filing company.

7. AI-Generated Content

Please read this section carefully.

AI Interpretations are generated by third-party artificial intelligence models and are provided for informational purposes only.
AI Interpretations do not constitute financial advice, investment advice, legal advice, accounting advice, or any other form of professional advice.
AI models may produce inaccurate, incomplete, misleading, or hallucinated information. You must independently verify any AI-generated Content before relying on it.
We make no representation or warranty as to the accuracy, reliability, or fitness for purpose of AI Interpretations.
You assume all risk associated with your use of or reliance on AI-generated Content.

8. No Professional Advice

The Service provides data aggregation and automated analysis tools. Nothing in the Service constitutes financial, investment, legal, tax, or accounting advice. You should consult qualified professionals before making any business or investment decisions based on Content obtained through the Service.

9. Intellectual Property

We own all rights in the Service, its design, software, and branding (excluding third-party data such as Companies House filings).
You retain ownership of any data you input into the Service. By using the Service you grant us a limited licence to process that data solely to provide the Service to you.
Reports and analyses generated for you may be used by you for your own business purposes. Mass redistribution or commercial resale requires our written consent.

10. Data Retention and Deletion

Your analysis data and downloaded documents are retained according to the retention policy of your Service Tier and may be automatically purged after the applicable period. You can manually delete tracked companies and their associated data at any time. See our Privacy Policy for full details.

11. Limitation of Liability

To the fullest extent permitted by law:

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of (or inability to use) the Service.
Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Planet Intelligence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Service
Your violation of these Terms
Your reliance on any Content, including AI Interpretations
Any third-party claim arising from your use of the Service

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

14. Modifications

We may revise these Terms at any time by posting an updated version on the Service. Material changes will be communicated via email or prominent notice. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Planet Intelligence regarding the Service and supersede all prior agreements.
